2. Definitions

  • “Anmol Digital,” “Company,” “we,” “us” or “our” means AD-ANMOL DIGITAL PRIVATE LIMITED.
  • “User,” “you” or “your” means the individual or entity using the services.
  • “Content” means audio, sound recordings, compositions, lyrics, artwork, videos, metadata, photographs, documents and other materials submitted through the services.
  • “Digital Platforms” means streaming services, download stores, social-media platforms, video platforms, content-identification systems and other third-party services.
  • “Services” means music distribution, content delivery, metadata management, royalty reporting, account management, service requests and related services offered by Anmol Digital.

3. Eligibility

To use the services, the user must:

  1. Be legally capable of entering into a binding agreement.
  2. Provide accurate and complete information.
  3. Have the legal authority to submit and distribute the relevant content.
  4. Comply with applicable law and platform policies.
  5. Use the services only for lawful purposes.

A person acting for a company, label, artist, partnership or other entity confirms that they have authority to bind that entity.

Minors may use the services only through a parent or lawful guardian where legally permitted.

4. Account Registration

Users may be required to create an account and provide identity, business, payment, tax or ownership information.

Users are responsible for:

  • Maintaining accurate account information.
  • Protecting usernames, passwords and OTPs.
  • Restricting access to their account.
  • All activity carried out through their account.
  • Immediately reporting suspected unauthorised access.

Accounts may not be sold, transferred, rented or shared with unauthorised persons without written approval.

Anmol Digital may require identity verification before activating services, processing releases, changing sensitive details or releasing royalties.

5. Nature of the Services

Anmol Digital provides digital music distribution and related services.

Depending on the selected plan or agreement, services may include:

  • Release review.
  • Metadata processing.
  • UPC or ISRC assignment.
  • Delivery to digital platforms.
  • Release updates.
  • Takedown requests.
  • Royalty reporting.
  • Royalty payments.
  • Content ID or user-generated-content services.
  • Copyright or channel-related service requests.
  • Customer support.

The features available to each user depend on the purchased plan, dashboard settings and any separate written agreement.

6. No Guarantee of Acceptance or Performance

Anmol Digital does not guarantee:

  • Acceptance by every digital platform.
  • A specific release date.
  • A specific processing time.
  • Continuous platform availability.
  • Playlist placement.
  • Artist verification.
  • Official Artist Channel approval.
  • Content ID approval.
  • Monetisation.
  • Streams, downloads or views.
  • Revenue or royalty amounts.
  • Search ranking.
  • Chart performance.
  • Audience growth.

Digital platforms independently control their catalogues, technical requirements, editorial decisions, monetisation systems and enforcement policies.

7. Licence Granted to Anmol Digital

The user retains ownership of the submitted content.

To provide the services, the user grants Anmol Digital a non-exclusive, worldwide, sublicensable and royalty-accounting licence during the applicable service term to:

  • Reproduce and encode the content.
  • Convert the content into required technical formats.
  • Host and store the content.
  • Deliver the content to digital platforms.
  • Authorise digital platforms to stream, download, display, perform, communicate and monetise the content.
  • Display artwork and metadata.
  • Create previews, clips and platform-required versions.
  • Collect revenue generated through authorised distribution.
  • Promote the release in connection with the services.
  • Process takedowns, corrections and ownership claims.

This licence is limited to providing, administering and concluding the services.

Where the parties sign an exclusive or specialised agreement, that written agreement will govern to the extent of any conflict.

8. User Ownership and Authority

The user represents and warrants that:

  1. The user owns or controls all rights required for the content.
  2. Every artist, performer, producer, composer, lyricist, publisher, photographer and contributor has authorised the intended use.
  3. All samples, beats, loops, compositions, artwork, videos and photographs are original or properly licensed.
  4. Distribution through Anmol Digital does not violate another agreement.
  5. The user has obtained all required mechanical, adaptation, synchronisation, master-use, publishing or other permissions.
  6. The content does not violate copyright, trademark, privacy, publicity or contractual rights.
  7. No submitted document is forged, altered or misleading.
  8. All metadata and ownership information is accurate.

Anmol Digital may request documentary proof at any time.

9. Content Standards

Users must not submit content that:

  • Infringes intellectual property rights.
  • Contains stolen or pirated material.
  • Uses an artist's name or likeness without authority.
  • Contains false collaborations or misleading credits.
  • Promotes unlawful conduct.
  • Contains unlawful threats or targeted harassment.
  • Contains malicious code.
  • Violates privacy or publicity rights.
  • Is intended to manipulate streams, royalties or rankings.
  • Has already been fraudulently distributed.
  • Violates a digital platform's content policy.
  • Creates legal, financial or reputational risk for Anmol Digital.

Anmol Digital may reject content without distribution where it reasonably believes the content violates these standards.

10. Artificial Intelligence and Synthetic Content

Users submitting AI-generated or AI-assisted content remain fully responsible for that content.

Such content must not:

  • Unlawfully imitate a protected voice or identity.
  • Misrepresent participation by a real artist.
  • Use copyrighted outputs or source material without required rights.
  • Contain unauthorised samples.
  • Mislead listeners regarding authorship or performance.
  • Violate a digital platform's AI-content rules.

Anmol Digital may require disclosure of AI use and may reject content that creates ownership, impersonation or platform-compliance concerns.

11. Release Submission

The user must submit content in the required format and quality.

The user is responsible for checking:

  • Audio quality.
  • File format.
  • Artwork dimensions and quality.
  • Release title.
  • Artist spelling.
  • Contributor information.
  • Language and genre.
  • Copyright lines.
  • Explicit-content designation.
  • Release date.
  • Territory.
  • Previously assigned UPC or ISRC.
  • Ownership details.

Anmol Digital is not responsible for errors caused by inaccurate information submitted by the user.

Changes requested after delivery may be subject to platform restrictions, additional charges or rejection.

12. Release Dates and Processing

Users should submit releases sufficiently in advance of the intended release date.

Processing times are estimates and may be affected by:

  • Content review.
  • Missing information.
  • Rights verification.
  • Platform processing.
  • Weekends and public holidays.
  • Technical failures.
  • High submission volume.
  • Compliance checks.
  • Third-party delays.

Anmol Digital is not liable for a missed release date caused by a platform, incomplete submission, technical event or circumstance beyond its reasonable control.

13. Digital Platform Rules

Users agree to comply with the rules of every platform receiving their content.

A platform may:

  • Reject a release.
  • Modify how metadata is displayed.
  • Remove content.
  • Restrict territories.
  • Deny monetisation.
  • Merge artist profiles.
  • Place a release on an incorrect artist page.
  • Withhold or reverse royalties.
  • Investigate streaming activity.
  • Require additional proof.

Anmol Digital may take any action reasonably required to comply with a platform request.

14. Artist Profiles

Anmol Digital cannot guarantee that a release will appear on the correct artist profile.

Users must provide accurate artist identifiers and profile links where requested.

Profile separation, correction, verification and channel-conversion requests depend on the relevant platform and may take additional time.

15. Content ID and User-Generated-Content Services

Content ID, fingerprinting and user-generated-content monetisation may be available only for eligible recordings.

Content may be ineligible where it contains:

  • Non-exclusive beats.
  • Stock music.
  • Public-domain material.
  • Common loops.
  • Meditation sounds.
  • Nature sounds.
  • Karaoke recordings.
  • Cover songs.
  • Remixes.
  • Licensed content that does not include claiming rights.
  • Material already registered by another party.

Anmol Digital may remove content from a claiming system where ownership is disputed or eligibility requirements are not met.

16. Pricing and Payments

The user must pay the fees displayed at the time of purchase or stated in the applicable agreement.

Unless expressly stated otherwise:

  • Prices may be changed for future purchases.
  • Taxes may be charged in addition to service fees.
  • Payment must be completed before service activation.
  • Promotional offers may have separate conditions.
  • Failure to use an activated service does not create an automatic refund right.

Payments are also governed by the Refund Policy.

17. Royalties

Where royalty collection is included, Anmol Digital will account for revenue actually received from the relevant digital platforms.

Royalty reports may be based on data supplied by those platforms and may be delayed, corrected or restated.

The amount payable may be reduced by:

  • Anmol Digital's agreed commission or revenue share.
  • Applicable taxes.
  • Withholding tax or TDS.
  • Banking and transfer charges.
  • Currency conversion charges.
  • Platform deductions.
  • Refunds and chargebacks.
  • Fraud or artificial-streaming reversals.
  • Copyright claims.
  • Previous overpayments.
  • Negative account balances.
  • Other deductions authorised by the applicable agreement.

No royalty is payable until Anmol Digital has actually received and cleared the corresponding amount, except where a separate written agreement states otherwise.

18. Royalty Statements and Payouts

Royalty-reporting periods, payout thresholds, payout methods and payment schedules will be displayed in the user dashboard or stated in the applicable agreement.

Users must maintain valid:

  • Bank or payment details.
  • Identity information.
  • Tax information.
  • Contact details.

Anmol Digital may delay a payout where:

  • Verification is incomplete.
  • Bank information is incorrect.
  • Ownership is disputed.
  • Fraud is suspected.
  • A platform has withheld or reversed revenue.
  • The account has a negative balance.
  • Payment is legally restricted.
  • Required tax documents have not been provided.

19. Artificial Streaming and Fraud

Users must not generate, purchase, arrange or encourage artificial streams, fake views, automated plays, click farms, bots, incentivised traffic or other manipulative activity.

Where suspicious activity is detected, Anmol Digital may:

  • Suspend releases.
  • Withhold royalties.
  • Reverse account balances.
  • Request evidence of legitimate promotion.
  • Remove content.
  • Suspend or terminate the account.
  • Report the activity to platforms or authorities.
  • Recover penalties or losses imposed by a platform.

The user is responsible for promotional agencies and third parties engaged on their behalf.

20. Copyright Claims and Disputes

Copyright matters are governed by the Copyright Policy.

Where content becomes disputed, Anmol Digital may suspend distribution, disable monetisation, freeze royalties or request ownership documents.

Anmol Digital may continue withholding disputed royalties until the matter is resolved to its reasonable satisfaction or by an appropriate authority.

21. Takedown Requests

Users may request removal of their content, subject to account status and applicable agreement terms.

Takedowns may not be immediate. Each digital platform controls its own processing time.

The user remains responsible for:

  • Existing contractual obligations.
  • Outstanding fees.
  • Copyright claims.
  • Negative royalty balances.
  • Platform penalties.
  • Fraudulent activity.
  • Other liabilities arising before removal.

Removal from stores does not guarantee deletion from caches, user libraries, social-media posts, search results or archived systems.

22. Suspension and Termination

Anmol Digital may reject content, restrict features, suspend an account or terminate services where the user:

  • Breaches these Terms.
  • Violates the Copyright Policy.
  • Provides false information.
  • Submits unauthorised content.
  • Engages in fraud or artificial streaming.
  • Abuses support staff or systems.
  • Fails identity or ownership verification.
  • Creates legal or platform risk.
  • Fails to pay an amount due.
  • Uses the service unlawfully.
  • Attempts to bypass a previous suspension.

Where reasonably possible, Anmol Digital may provide notice or an opportunity to respond. Immediate action may be taken where necessary to prevent harm, fraud, infringement or legal exposure.

23. Effect of Termination

Following termination:

  • Access to the dashboard may be restricted.
  • Pending releases may be cancelled.
  • Distributed content may be removed.
  • Unpaid fees remain payable.
  • Royalties may be held pending final reporting, claims or deductions.
  • Relevant records may be retained for legal and accounting purposes.

Provisions relating to ownership, payment, warranties, indemnity, liability, disputes and confidentiality survive termination where their nature requires survival.

24. User Indemnity

To the extent permitted by law, the user agrees to indemnify and hold harmless Anmol Digital, its management, officers, employees, contractors and service partners from claims, losses, penalties, liabilities, expenses and reasonable legal costs arising from:

  • Content submitted by the user.
  • Copyright or ownership claims.
  • Breach of these Terms.
  • False or misleading information.
  • Unauthorised samples, artwork or performances.
  • Artificial streaming or fraud.
  • Violation of law or platform policy.
  • Acts of persons using the user's account.

Anmol Digital may control the defence or settlement of a claim affecting its interests, while reasonably consulting the user.

25. Disclaimer of Warranties

The services are provided on an “as available” basis, subject to applicable law.

Anmol Digital does not warrant that:

  • The service will always be uninterrupted or error-free.
  • Every release will be accepted.
  • Every platform will remain available.
  • Metadata will always be displayed exactly as submitted.
  • Content will achieve a particular commercial result.
  • Third-party data will always be complete or free from error.

Nothing in these Terms excludes a warranty or obligation that cannot legally be excluded.

26. Limitation of Liability

To the maximum extent permitted by law, Anmol Digital will not be liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, opportunity, reputation, data, audience or anticipated revenue.

Anmol Digital is not responsible for losses caused by:

  • Digital platforms.
  • Payment providers.
  • Banks.
  • Internet or hosting outages.
  • Copyright claims.
  • User-submitted errors.
  • Unauthorised account access caused by the user.
  • Artificial streaming.
  • Events beyond reasonable control.

Where liability cannot legally be excluded, Anmol Digital's aggregate contractual liability will ordinarily be limited to the service fees paid by the user for the specific service giving rise to the claim during the preceding twelve months, unless a different remedy is required by law.

27. Confidentiality

Non-public business, account, payment, royalty, contract and operational information disclosed through the services must not be misused or disclosed without authority.

This obligation does not apply to information that:

  • Is already public without breach.
  • Was lawfully known before disclosure.
  • Is independently developed.
  • Must be disclosed by law.
  • Is disclosed with written permission.

28. Privacy

Personal data is processed in accordance with the Privacy Policy.

By using the services, users acknowledge that release information may be shared with digital platforms and service providers as required to perform distribution.

29. Electronic Communications and Acceptance

Users agree to receive account, release, payment, support, security and legal communications electronically.

Electronic acceptance, account activity, OTP verification, checkbox consent and other digital records may be used as evidence of acceptance and transaction history, subject to applicable law.

Users must maintain an active email address and phone number.

30. Third-Party Services

Anmol Digital may integrate or link to third-party services.

Third-party services are governed by their own terms and policies. Anmol Digital is not responsible for independent third-party actions, interruptions or decisions.

31. Force Majeure

Anmol Digital will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters.
  • Fire or flood.
  • War or civil disturbance.
  • Government action.
  • Internet or power failure.
  • Cyberattack.
  • Labour disruption.
  • Banking failure.
  • Platform outage.
  • Public-health emergency.
  • Failure of a critical third-party provider.

32. Changes to Services and Terms

Anmol Digital may modify the services, pricing, features, platform availability or these Terms.

Material changes may be communicated through the website, dashboard, email or another reasonable method.

Continued use after the effective date of revised Terms constitutes acceptance, except where fresh consent is legally required.

33. Assignment

The user may not transfer their account, agreement or rights under these Terms without written approval.

Anmol Digital may assign or transfer its rights and obligations as part of a merger, restructuring, acquisition, financing or transfer of business, subject to applicable law.

34. Severability

If any provision is held invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be interpreted or modified only to the extent necessary to make it enforceable while preserving its intended purpose.

35. No Waiver

Failure by Anmol Digital to enforce a provision does not waive the right to enforce it later.

Any waiver must be made in writing by an authorised representative.

36. Entire Agreement

These Terms, together with the Copyright Policy, Refund Policy, Privacy Policy, selected plan, dashboard terms and any signed distribution agreement, constitute the agreement between the user and Anmol Digital.

Where a separately signed agreement conflicts with these general Terms, the signed agreement will prevail for the subject matter it specifically governs.

37. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

The parties should first attempt to resolve any dispute through good-faith written communication.

Subject to applicable law and any mandatory consumer forum jurisdiction, courts having competent jurisdiction in Jamui, Bihar, India will have jurisdiction over disputes arising from these Terms or the services.
